Terms and Conditions of the Online Shop
Website: https://magdaplantbased.com
Version 1.0 — effective from 15 October 2026
This is a translation of the Polish Terms and Conditions (Regulamin). In the event of any discrepancy, the Polish version prevails.
§ 1. Seller and scope of the Terms
- The seller of the Goods and the service provider operating the online shop is MAGDA PLANT-BASED spółka z ograniczoną odpowiedzialnością with its registered office in Szaflary, ul. Zakopiańska 35A, 34-424 Szaflary, Poland, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000665193, tax ID (NIP) 7352870212, REGON 366717496, BDO 000012038, share capital PLN 106,000, hereinafter the “Seller” or “MAGDA”.
- The Seller can be contacted:
- regarding Orders, Accounts and complaints: esklep@magdaplantbased.com;
- regarding the quality of Goods: product@magdaplantbased.com;
- regarding personal data and accessibility: biuro@magdaplantbased.com;
- by phone: +48 18 275 47 69 (on Business Days, 8:00–16:00 CET);
- by post: ul. Zakopiańska 35A, 34-424 Szaflary, Poland.
- These Terms set out the rules for using the shop available on the Website, maintaining an Account, placing Orders, concluding sales contracts, payments, delivery and complaints.
- The Shop sells to Consumers and businesses. Goods are delivered only within the territory of Poland.
- Orders are placed through the Shop. The Seller does not accept Orders by phone or e-mail.
- The Terms are made available free of charge on the Website in a way that allows them to be downloaded, saved and reproduced. Each version of the Terms and of the Delivery Terms is recorded as a PDF file marked with a version number and effective date. All versions remain available on the Website, in the “Version archive” section of the Terms and Conditions page, in a way that allows them to be downloaded, saved and printed. A Customer with an Account also has access to them in the Account.
§ 2. Definitions and Customer status
- The following terms used in these Terms mean:
- BOK — the Seller’s Customer Service Office;
- Business Day — a day from Monday to Friday, excluding public holidays in Poland;
- Customer — a natural person, legal person or organisational unit that uses the Shop or concludes a contract with the Seller;
- Consumer — a natural person who enters into a transaction with the Seller that is not directly related to their business or professional activity;
- Account — the individual part of the Website assigned to a Customer;
- B2C Account — an optional Account intended for consumer purchases;
- B2B Account — a business Account, activated after verification and approval by BOK;
- Website — the website available at https://magdaplantbased.com;
- Shop — the part of the Website used to browse the offer, place Orders and conclude Sales Contracts;
- Goods — a packaged food product offered in the Shop;
- Sales Contract — a distance contract for the sale of Goods concluded between the Customer and the Seller;
- Order — the Customer’s offer to conclude a Sales Contract, placed through the Shop;
- Delivery Terms — the detailed delivery rules published on the “Delivery” page of the Website, which form part of these Terms.
- The provisions of these Terms concerning Consumers also apply, to the extent required by mandatory law, to a natural person who concludes a contract directly related to their business activity where it follows from the contract that it is not of a professional nature for that person. Such a person is hereinafter referred to as an “Entrepreneur with Consumer Rights”.
- Providing a tax ID (NIP) or using a B2B Account does not in itself exclude the protection afforded to an Entrepreneur with Consumer Rights.
§ 3. Electronic services and Accounts
- The Seller provides, free of charge, services consisting in making available the Website, the search function, the basket, the Order form, the contact form, the B2C Account, the B2B Account and the newsletter.
- Using the Website requires a device with Internet access, an up-to-date browser supporting JavaScript and necessary cookies, and an active e-mail address where a given function requires contact with the Customer.
- The Customer may not provide unlawful content, infringe the rights of third parties, circumvent the Website’s security measures or disrupt its operation.
- A Consumer may buy without registration or after logging in to a B2C Account. Creating a B2C Account does not require providing a tax ID or approval by BOK.
- Placing Orders as a B2B Customer requires a B2B Account. BOK verifies the business details and the correctness of the application. Where justified, BOK may request information necessary to confirm the application. The B2B Account is activated after approval by BOK and after an activation confirmation has been sent to the e-mail address provided. The Seller may refuse activation if the details are incomplete, inconsistent or do not allow the business to be confirmed.
- A B2C Account and an active B2B Account allow the Customer to save addresses, view Order and invoice history, reorder and keep a list of favourite Goods.
- The Account agreement is concluded for an indefinite period. The Customer may close the Account at any time, free of charge, using the function available on the Website or by sending a message to esklep@magdaplantbased.com. If there is no login for 24 months, the Seller may close the Account after sending a warning at least 30 days in advance. Closing the Account does not affect concluded Sales Contracts or the obligation to retain documents required by law. In addition, a Consumer and an Entrepreneur with Consumer Rights may withdraw from the Account agreement within 14 days of its conclusion, without giving a reason and at no cost, in particular by closing the Account or sending a statement to esklep@magdaplantbased.com.
- The Seller may temporarily block an Account for an important reason related to security, a breach of the law, or a material or repeated breach of these Terms. Where immediate action is not necessary, the Seller first informs the Customer and requests that the breach be remedied. For the same reason the Seller may terminate the Account agreement with 14 days’ notice, or with immediate effect where continuing the Account would be unlawful or would threaten security.
- The agreement for using the Website without an Account ends when the Customer leaves the Website, and the agreement for using a form ends when the form is sent or the Customer abandons sending it.
- Complaints concerning the operation of the Website, the Account or the forms may be submitted to esklep@magdaplantbased.com, via the contact form or by post to the Seller’s address. The Seller replies within 14 days of receiving the complaint, on paper or another durable medium.
- The newsletter consists in sending information about promotions and new products in the Shop to the Customer’s e-mail address. Subscribing requires providing an e-mail address and giving separate, voluntary consent to receive commercial information. Accepting these Terms does not constitute consent to the newsletter. The Customer may unsubscribe at any time using the link in the message or by sending a message to esklep@magdaplantbased.com. Unsubscribing terminates the newsletter agreement.
§ 4. Goods and food information
- The Shop offers packaged chilled food. The Goods must be transported and stored at a temperature of +1°C to +8°C and used in accordance with the information on the label.
- Before placing an Order, the required food information is available on the product page, in particular the name, ingredients, highlighted allergens, net quantity, storage and use conditions, details of the responsible food business operator, instructions for use where needed, and nutrition information. The exact “use by” date is shown on the delivered Goods.
- At the time of dispatch, the Goods will have at least:
- 15 days until the “use by” date — for an Order placed without an Account or from a B2C Account;
- 20 days until the “use by” date — for an Order placed from a B2B Account.
- Before purchasing, the Customer should check the ingredients, allergens and storage conditions applicable to the given Goods.
§ 5. Prices, minimum Order value and promotions
- Prices are given in Polish złoty (PLN). In the consumer part of the Shop they are gross prices and include taxes. In the B2B part they may be presented as net prices, with VAT and the total gross amount clearly indicated no later than in the Order summary. The unit price of the Goods, e.g. per kilogram or litre, is also shown in accordance with applicable law.
- The price of the Goods does not include the cost of delivery. The cost of delivery is set out in the Delivery Terms and displayed separately before the Order is placed.
- The minimum value of Goods in an Order is PLN 120 gross after discounts, excluding the cost of delivery. There is no minimum number of items.
- A B2B Customer may receive an individual price list or discount visible after logging in. The final price is always visible in the basket before the Order is placed.
- The conditions of a promotion, its duration and the rules for combining benefits are stated with the given promotion. When a price is reduced, the Seller displays, next to the reduced price, the lowest price from the 30 days before the reduction was introduced, and in the case of Goods that spoil quickly or have a short shelf life — the price from before the reduction was first applied, in accordance with the Polish Act on Informing about Prices of Goods and Services.
- The price and discounts indicated in the Order summary may not be changed unilaterally after the Sales Contract has been concluded.
§ 6. Placing an Order and concluding the Sales Contract
- A Consumer places an Order without an Account or from a B2C Account. A B2B Customer places an Order after logging in to an active B2B Account.
- The Customer selects the Goods, provides the details needed to fulfil the Order, chooses delivery and payment, and then checks the summary, which includes at least the Goods, their quantity, prices, discounts, the cost of delivery and the total amount.
- Before placing the Order, the Customer may correct the details entered and the contents of the basket. The Order is placed using a button that clearly indicates the obligation to pay.
- Information about the Goods in the Shop constitutes an invitation to conclude a contract. Placing an Order constitutes the Customer’s offer. The automatic message confirming receipt of the Order or the start of payment does not yet constitute its acceptance.
- After receiving confirmation from the payment operator that full payment has been credited, the Seller accepts a correctly placed Order and sends a message confirming that it has been accepted for processing. The Sales Contract is concluded when this message reaches the Customer’s e-mail address in a way that allows its content to be read.
- The Seller accepts every correctly placed and fully paid Order that meets the minimum value and concerns Goods and quantities allowed by the system for payment.
- The message confirming acceptance of the Order contains the terms of the Order. The versions of the Terms and the Delivery Terms applicable to the Order are available in the version archive on the Website (§ 1(6)) and, for a Customer with an Account, also in the Account.
- If, after the Sales Contract has been concluded, it turns out that all or part of the Order cannot be fulfilled, the Seller immediately informs the Customer and refunds the relevant amount without delay, no later than within 7 calendar days.
- The Customer may cancel a paid Order until the parcel is handed over to the carrier by contacting BOK without delay — by phone at the number indicated in § 1(2) or via the contact form. Cancellation means termination of the Sales Contract by mutual agreement. The Seller refunds the payment received using the same payment method, without delay, no later than within 7 calendar days.
§ 7. Payments
- Payment is made after placing the Order via:
- Przelewy24, operated by PayPro S.A.; or
- Autopay, operated by Autopay S.A.
- The available payment methods, in particular online payment, BLIK, Google Pay and instalment payment, are shown before the payment is initiated. Instalment payment is a credit granted by an entity cooperating with the payment operator, on the terms set by that entity and under a separate agreement concluded with it. The Sales Contract is concluded only after the operator has confirmed full payment (§ 6(5)).
- Confirmation that full payment has been credited must reach the Seller’s system within 96 hours of placing the Order. Merely ordering a transfer does not meet this deadline.
- If full payment is not confirmed within that time, the Order is cancelled automatically and no Sales Contract is concluded. This also applies where instalment credit is not granted or its disbursement is not confirmed within that time. A payment credited after cancellation does not reinstate the Order; the Seller refunds it without delay, no later than within 7 calendar days.
- Refunds are made using the same payment method, unless the Customer agrees to another method that involves no cost, or the law requires a different method.
§ 8. Invoices
- The Seller issues an invoice for every concluded Sales Contract. An Order cancelled before the Sales Contract is concluded is not invoiced. A Consumer may buy and receive an invoice without providing a tax ID.
- B2B invoices are issued in the National e-Invoicing System (KSeF) in accordance with applicable law. The Seller voluntarily uses KSeF also for B2C invoices.
- The Customer agrees with the Seller that the invoice will be delivered electronically to the e-mail address provided in the Order. A Consumer receives a visual representation of the invoice (PDF file) which, for an invoice issued in KSeF, contains a QR code allowing it to be verified. A Consumer does not need to use KSeF.
§ 9. Delivery
- Goods are delivered only within the territory of Poland, through carriers cooperating with the Seller.
- The detailed delivery rules, in particular the available delivery methods, carriers, delivery costs, dispatch days and estimated delivery time, are set out in the Delivery Terms available on the “Delivery” page of the Website. The Delivery Terms form part of these Terms.
- An Order is governed by the Delivery Terms in force at the time it is placed. All versions of the Delivery Terms are available in the version archive (§ 1(6)). A subsequent change to the Delivery Terms does not affect concluded Sales Contracts.
- The cost of delivery is indicated in the Order summary before the Order is placed.
- The delivery time stated by the carrier is an estimate. This does not limit the Consumer’s statutory rights in the event of non-delivery of the Goods.
- The Customer may name another person as the recipient of the parcel. That person’s contact details may be passed to the entities organising and performing the delivery to the extent needed for delivery.
- The Customer should provide a complete address and ensure that the parcel can be received. An error in the delivery details, non-delivery or damage to the parcel should be reported without delay to esklep@magdaplantbased.com. The Seller resolves the matter with the carrier.
- Failure to report damage on receipt or the absence of a damage report does not deprive a Consumer or an Entrepreneur with Consumer Rights of their statutory rights. For food safety reasons, Goods whose individual packaging is damaged, or Goods that have not been stored at the required temperature, should not be consumed.
- In the case of a Consumer and an Entrepreneur with Consumer Rights, the risk of accidental loss of or damage to the Goods passes to the Customer when the Goods are handed over to them or to a third party designated by them other than the carrier, subject to the cases provided for by law.
§ 10. No right of withdrawal
- All Goods offered in the Shop are chilled food which requires an unbroken cold chain and which spoils quickly or has a short shelf life. For this reason, pursuant to Article 38(1)(4) of the Polish Consumer Rights Act of 30 May 2014, a Consumer and an Entrepreneur with Consumer Rights do not have the right to withdraw from a Sales Contract concluded at a distance.
- Information about the absence of the right of withdrawal is provided on the product page and before the Order is placed.
- The absence of the right of withdrawal does not limit the right to complain about Goods that do not conform to the contract, are damaged or are unsafe (§ 11 and § 12).
- A business that is not an Entrepreneur with Consumer Rights has no right to return conforming Goods without giving a reason.
§ 11. Consumer complaints
- The Seller is liable to the Consumer for the Goods’ lack of conformity with the Sales Contract under the rules set out in the Polish Consumer Rights Act. These rules also apply to an Entrepreneur with Consumer Rights to the extent provided by that Act.
- The Seller is liable for a lack of conformity existing at the time the Goods are delivered and revealed within 2 years of that time, taking into account the properties of the Goods and the rules arising from the Act.
- A complaint may be submitted:
- to esklep@magdaplantbased.com;
- by post to the Seller’s address;
- via the contact form after selecting the “Customer Service” subject;
- regarding the quality of the Goods — also to product@magdaplantbased.com.
- To process the complaint efficiently, it is helpful to provide the Order number, the name of the Goods, the batch number and “use by” date, a description of the problem and the request. Photos of the Goods, label, packaging or parcel may be helpful but are not a condition for accepting the complaint.
- Due to the chilled nature of the Goods, the Customer should not send the complained-of Goods back without first agreeing with the Seller how they are to be secured, collected, returned or disposed of. Where a return is needed, it takes place in accordance with the Seller’s instructions and at the Seller’s expense in the cases provided for by law.
- The Consumer may request repair or replacement of the Goods; given the nature of food, bringing the Goods into conformity will usually consist of replacement. The Seller may change the chosen method or refuse to bring the Goods into conformity only in the cases specified in the Act.
- In the cases specified in the Act, the Consumer may request a price reduction or withdraw from the contract. Withdrawal is not available if the lack of conformity is immaterial.
- The Seller bears the costs of bringing the Goods into conformity required by law and replies to the complaint within 14 days of receiving it. Failure to reply within this period means the Consumer’s complaint has been accepted.
§ 12. B2B complaints and liability
- Pursuant to Article 558 § 1 of the Polish Civil Code, the Seller’s liability under the statutory warranty (rękojmia) towards a business that is not an Entrepreneur with Consumer Rights is excluded.
- The exclusion does not apply if the Seller fraudulently concealed a defect, and it does not limit liability that cannot be excluded by law.
- A business may report non-performance or improper performance of the Sales Contract, transport damage, and issues concerning the quality or safety of the Goods through the channels indicated in § 11(3). The rules in § 11(4)–(5) apply accordingly.
- The Seller replies to a business complaint within 14 days of receiving it. Failure to reply does not mean the complaint has been automatically accepted, unless mandatory law provides otherwise.
- Reports of transport damage to the Goods are handled by the Seller individually. If the report is accepted, the Seller sends the Goods again or issues a corrective invoice and refunds the relevant part of the payment.
§ 13. Reviews
- The Website does not operate its own review system. It may display reviews from MAGDA’s Google profile or link to that profile.
- The Seller does not verify whether the author of a Google review bought or used the Goods. Publication, verification and moderation of those reviews are carried out by Google under its own rules.
§ 14. Personal data, cookies and accessibility
- The rules for processing personal data are described in the Privacy Policy available on the Website.
- The rules for using cookies and similar technologies are described in the Cookie Policy and in the privacy settings panel.
- Accessibility information for the Shop (e-commerce service):
- the Shop allows users to browse the offer, create an Account, place and pay for Orders and contact the Seller via a web browser on a computer and on mobile devices;
- using the Shop requires a device with Internet access and an up-to-date browser; the Shop can be used with assistive technologies such as screen readers and screen magnification;
- the Shop is designed with accessibility requirements in mind; the Website provides a tool that makes the site easier to use, including changing the text size and contrast. After the Shop is launched, an accessibility audit will be carried out and its results, including any limitations and the deadlines for removing them, will be described here.
- A Consumer may submit a complaint about the Shop’s failure to meet accessibility requirements — to biuro@magdaplantbased.com or by post to the Seller’s address. The complaint should include the name or company name, contact details, the service concerned, a description of the problem and a request to ensure accessibility. The Seller handles the complaint within 30 days of receiving it; in particularly complex cases this period may be extended to 60 days, of which the Seller gives notice. If the complaint is not upheld, the Consumer may submit a notification to the President of the Management Board of the State Fund for the Rehabilitation of Persons with Disabilities (PFRON).
- The Customer may request a copy of their personal data processed in connection with the use of the Shop — to the extent the Seller processes it — in particular Account data, addresses, Orders, baskets, messages, login history, consents (including newsletter consent) and e-mail notifications. The request may be sent to biuro@magdaplantbased.com or by post to the Seller’s address. The Seller provides the copy in a commonly used electronic format, in particular PDF or CSV, without undue delay, as a rule within one month of receiving the request. The detailed rules for exercising data subject rights are described in the Privacy Policy.
§ 15. Amendments to the Terms
- A Sales Contract is governed by the version of the Terms and the Delivery Terms made available before the Order was placed. A subsequent amendment to the Terms or the Delivery Terms does not change the conditions of a concluded Sales Contract.
- With regard to the Account service, the Seller may amend the Terms due to a change in the law, a decision of a competent authority, a change in the functionality or technical requirements of the Website, a change in payment or delivery methods, the need to remove a security threat, or a change in the Seller’s details.
- The Seller informs the Customer of an amendment concerning the Account on a durable medium at least 14 days in advance, stating its content, the reason and the date it takes effect. Before that date the Customer may close the Account free of charge. A shorter period may be applied where required by law or by the immediate protection of security; in such a case the Seller states the reason.
§ 16. Out-of-court dispute resolution
- A Consumer may seek assistance from a municipal or district consumer ombudsman, a consumer organisation or the competent regional inspector of the Trade Inspection (Inspekcja Handlowa).
- If a dispute is not resolved through the complaint procedure, the Seller provides the Consumer with the statement required by law on consent to, or refusal of, participation in out-of-court dispute resolution proceedings and, where it consents, indicates the competent body.
- Out-of-court proceedings are voluntary and do not deprive the Consumer of the right to go to court.
§ 17. Governing law and jurisdiction
- These Terms and contracts concluded through the Shop are governed by Polish law.
- The choice of Polish law does not deprive the Consumer of the protection afforded by provisions that cannot be derogated from by agreement.
- Disputes are heard by the court having jurisdiction under applicable law.
